Our Acquisition Process
-
1. Connect
We will have an initial phone call or meeting in person to discuss your business at a high level and explore a potential fit.
If there is mutual interest, we will execute a non-disclosure agreement (NDA) to protect confidential information prior to holding more detailed discussions.
-
2. Letter of Intent
We will discuss and agree on a potential price range, sale type, financial structure, and discuss factors influencing the valuation to agree on a fair price for your business.
If both parties agree to proceed, we will submit a non-binding Letter of Intent (LOI) detailing the proposed purchase price, payment terms, and contingencies.
-
3. Due Diligence
After LOI approval, we begin comprehensive due diligence, reviewing financials, legal documents, and contracts, with potential input from third-party experts and a business visit.
If due diligence goes smoothly, we will finalize the purchase agreement, including terms, contingencies, and your role in the post-sale transition.
-
4. Closing
The closing marks the final stage, where we sign the purchase agreement, transfer funds, and transition ownership and roles as agreed.
After closing, we’ll collaborate closely with you to ensure a smooth transition for the business, employees, and customers.
